Terms
General Terms and Conditions of Business and Use for p.ready_Market
Only the German version of this page is legally binding. This English translation is provided for convenience.
§ 1 Scope
(1) These terms apply to all contracts between p.ready GmbH, August-Bebel-Straße 26-53, 14482 Potsdam (hereinafter “p.ready”) and its customers regarding the use of the p.ready_Market platform, including the free checks, the paid modules, the bundles and the ongoing monitoring services.
(2) p.ready_Market is aimed exclusively at entrepreneurs within the meaning of § 14 BGB (German Civil Code), legal entities under public law and special funds under public law. By placing an order, the customer confirms that they are acting in the exercise of their commercial or independent professional activity. Consumers cannot conclude contracts for paid services.
(3) Deviating terms of the customer apply only if p.ready has expressly agreed to them in text form.
§ 2 Services
(1) p.ready_Market is a platform that analyses publicly accessible information on market, competition, target customers and visibility in AI answer engines and uses it to produce results for the customer’s market entry. The analysis is automated and AI-assisted. The scope and content of the individual modules, bundles and monitoring services are set out in the service description on the website at the time of the order.
(2) The results are based on publicly available sources and on the customer’s information. Every core statement names its source. p.ready owes a professional analysis; p.ready does not owe any particular economic success. The results do not constitute legal, tax or financial advice.
(3) For bundles with a personal review session, an expert from p.ready discusses the results with the customer in one appointment. Further consulting services are not part of the contract.
(4) p.ready provides the free checks voluntarily and without any entitlement to availability. p.ready may limit their scope, in particular to one run per domain or a number per day.
§ 3 Account and sign-in
(1) For the full report of a check and for paid services, the customer creates an account. Sign-in takes place via a link that p.ready sends to the email address provided. A link is valid for one hour and can be used only once.
(2) An account is assigned to one natural person acting for the customer. Within an account, the customer can create several brands and book modules for each brand.
(3) The customer keeps access to their email mailbox protected and informs p.ready without undue delay if they become aware of any misuse of their account.
§ 4 Conclusion of contract
(1) The presentation of the services on the website constitutes an invitation to order. The customer submits a binding offer by initiating payment at checkout. The contract is concluded upon p.ready’s confirmation of the order by email or upon activation of the service in the Cockpit.
(2) Before placing the order, the customer expressly agrees to these terms.
§ 5 Prices and payment
(1) The prices stated on the website at the time of the order apply. All prices are net prices plus statutory VAT.
(2) Payment is made via the payment service provider Stripe. The payment methods shown at checkout are available. One-off services are due upon ordering; monitoring services are due at the beginning of each billing period.
(3) Customers based outside Germany provide their VAT identification number or their Swiss VAT (MWST) number at checkout. The invoice is then issued without German VAT, and the customer owes the tax as the recipient of the service. If a customer based outside Germany has not provided the number, p.ready will correct the invoice upon a request received within 30 days of the purchase and refund the VAT overpaid.
(4) p.ready issues invoices electronically and sends them by email.
(5) For SEPA Direct Debit, p.ready activates the service as soon as the customer has granted the direct debit mandate. If a direct debit is returned or charged back, the customer is obliged to pay by other means and bears the resulting bank charges insofar as they are responsible for the return.
§ 6 Start of service, cancellation and refund
(1) The customer starts a booked module themselves in the Cockpit. Before the start, the Cockpit indicates that performance of the service begins with the start.
(2) As long as a booked module has not been started, the customer can cancel the booking within 14 days of the purchase. For bundles, this applies until the first module of the bundle is started. In these cases, p.ready refunds the full amount to the original means of payment.
(3) After a module has been started, a refund is excluded unless § 7 provides otherwise. For bundles, a partial refund for modules not yet started is excluded after the first module has been started.
(4) Modules from a bundle that the customer has not yet started remain available for twelve months from the purchase. Thereafter, they expire without refund.
(5) p.ready refunds amounts charged twice or in error in full.
§ 7 Defects and re-run
(1) If a module does not deliver a complete result, p.ready runs it again free of charge. If the re-run does not succeed within five business days, p.ready refunds the price of the module; for bundles, the share corresponding to the ratio of the individual prices of the modules included.
(2) If the customer disputes a statement in the result and submits their own evidence within 30 days of delivery, p.ready runs the module again once free of charge using the customer’s information. There is no entitlement to any particular substantive result.
(3) Further claims for defects remain unaffected within the scope of § 10.
§ 8 Ongoing monitoring
(1) Monitoring services run monthly; AI Visibility Monitoring runs quarterly. They are each extended by a further billing period unless the customer cancels.
(2) The customer can cancel a monitoring service at any time with effect from the end of the current billing period, via their customer area or by email to hello@p-ready.com. There is no pro rata refund for partial periods.
(3) Monitoring months included in a module or bundle end automatically. Their duration is set out in the service description at the time of the order. They continue as a paid monitoring service only if the customer stores a payment method before they end and thereby agrees to the extension. p.ready reminds the customer by email in good time before the end.
(4) If a payment fails, the payment service provider automatically attempts to collect it again. If this does not succeed, p.ready pauses the monitoring service until the customer stores a valid payment method.
§ 9 Customer obligations
(1) The customer submits only information they are entitled to use and ensures that their information does not infringe any third-party rights.
(2) The customer uses the platform only for their own brands or for brands on whose behalf they are permitted to act. Automated queries, in particular of the free checks, are prohibited.
(3) The customer reviews the results on their own responsibility before using them externally, in particular for admissibility under trademark, competition and copyright law.
§ 10 Rights of use
(1) Upon full payment, the customer receives a non-exclusive right, unlimited in time and territory, to use and edit the results produced for them for their own purposes and to pass them on to employees, service providers and partners.
(2) Quotations and excerpts from third-party sources that appear as evidence in the results remain the property of the respective rights holders. Their use is governed by the statutory provisions.
(3) The platform, its methods, templates and software remain with p.ready.
(4) p.ready may use anonymised and aggregated insights from usage to improve the platform. p.ready does not pass on a customer’s results to third parties without the customer’s consent.
§ 11 Liability
(1) p.ready is liable without limitation for intent and gross negligence, for injury to life, body or health, under the Produkthaftungsgesetz (German Product Liability Act) and to the extent of any guarantee assumed.
(2) In the event of a slightly negligent breach of an essential contractual obligation, liability is limited to the foreseeable damage typical of the contract. Essential obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the customer may regularly rely.
(3) Otherwise, liability for slight negligence is excluded.
(4) p.ready is liable for the accuracy of content from public third-party sources only within the scope of the preceding paragraphs.
§ 12 Availability
p.ready endeavours to keep the platform available with as few interruptions as possible. Maintenance, security measures and disruptions beyond p.ready’s control may temporarily restrict availability. No specific availability is agreed.
§ 13 Data protection
p.ready processes personal data in accordance with the privacy policy, available on the website under “Privacy”.
§ 14 Changes to these terms
p.ready may change these terms with effect for the future insofar as this is necessary for objective reasons, for example due to changes in the law or new features. For ongoing monitoring services, p.ready gives notice of changes by email at least four weeks before they take effect. If the customer does not object by the time they take effect, the amended terms apply. p.ready points out the right to object and its consequences in the notice. In the event of an objection, either party may cancel the monitoring service with effect from the date the changes take effect.
§ 15 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) The exclusive place of jurisdiction for all disputes arising from this contract is Potsdam, provided the customer is a merchant, a legal entity under public law or a special fund under public law.
(3) Should any provision of these terms be invalid, the validity of the remaining provisions remains unaffected.
